Venture investment enterprises shall meet the following requirements: Number of investors of an enterprise shall be more than 2 and less than 50, and there shall be at least one investor with powerful financial strength (See the qualifications of the required investors described in Article 7 of the Regulations on the Administration of Foreign-Invested Venture Investment Enterprises); Investors of non-corporate venture investment enterprises shall make an investment of no less than US$10 million in the enterprises; Investors of corporate venture investment enterprises shall make an investment of at least US$5 million in the enterprises. Except the required investors described in Article 7 of the Regulations on the Administration of Foreign-Invested Venture Investment Enterprises, each of the other investors shall invest a minimum of US$1 million in the enterprises.

Venture investment enterprises shall take a specific form of organizational from, and shall have a clear and legitimate investment direction; Except the case that the venture investment enterprises are entrusted to another venture investment management company for management, they shall have at least 3 professionals experienced in venture investment; and other conditions set forth in laws and administrative regulations.

Compared with the Interim Regulations on the Establishment of Foreign-invested Venture Investment Enterprises issued on August 2001, the above provisions in the new Regulations lower the conditions, which facilitates the establishment of venture investment enterprises. For example, non-corporate venture investment enterprises' investment in the enterprises shall be at least US$10 million, and corporate venture investment enterprises' investment in the enterprises shall be no less than US$5 million. Meanwhile, according to the provisions in the Interim Regulations, non-corporate venture investment enterprises' investment in the enterprises shall not be less than US$20 million, and the contributions of the Chinese investors to the foreign-invested venture investment enterprises shall not be less than US$5 million. In addition, the conditions for other investors are also lowered. For example, each of the other investors shall invest a minimum of US$1 million in the enterprises, while according to the Interim Regulations, the contributions of each of the other investors to the venture investment enterprises shall not be less than US$10 million, and the contributions of the other Chinese investors to the foreign-invested venture investment enterprises shall not be less than US$5 million.
